Licensing Terms

Effective Date: December 2026

 

The RMMAP Original Music Licensing Library (“Licensing Library”) is a collection of original musical works and sound recordings created, produced, performed, and/or controlled by RMMAP LLC (“RMMAP”).

These Licensing Terms establish the general conditions under which music and related creative materials made available through the Licensing Library may be auditioned and licensed. An individual license, license confirmation, or other written agreement issued by RMMAP will establish the specific rights granted for each licensed work and will control in the event of any conflict with these general terms.

 

1. Nature of the Licensing Library

​

The Licensing Library consists of original music and recordings intended for potential use in film, television, video, theater, dance, podcasts, digital media, installations, exhibitions, advertising, games, documentary projects, educational projects, artistic works, and other creative or commercial applications.

The Library may include:

• previously released works;

• previously unreleased works;

• archival recordings;

• instrumental and electronic works;

• improvisational works;

• works centered on Dautar and other instruments;

• atmospheric, cinematic, dramatic, rhythmic, experimental, spiritual, and contemplative works;

• alternate versions where available; and

• works that may be suitable for adaptation or custom development.

Availability of a work in the Licensing Library does not constitute a grant of rights.

2. Ownership

​

Unless expressly stated otherwise in writing, Dawoud Kringle/RMMAP LLC retains ownership and control of the copyrights and other intellectual-property rights in the musical works, sound recordings, and other materials offered through the Licensing Library.

A license permits specified use of a work. It does not constitute a sale, assignment, transfer, or abandonment of copyright or ownership.

All rights not expressly granted in writing are reserved by RMMAP.

3. Musical Works and Sound Recordings

​

Musical compositions and sound recordings are separate intellectual-property works.

Depending upon the requested use, a license may therefore involve:

• the underlying musical composition;

• a specific RMMAP sound recording;

• both the composition and the sound recording; or

• a new recording, adaptation, or commissioned work.

The particular rights included in a license will be identified in the applicable license agreement or written license confirmation.

4. License Required

​

No music or recording obtained through the Licensing Library may be incorporated into a project, publicly performed, distributed, broadcast, synchronized with visual media, commercially exploited, or otherwise used beyond the scope of an authorized audition without a written license from RMMAP.

Access to a preview or private audition copy does not constitute permission to use the work.

Unauthorized use may constitute copyright infringement and/or violation of other applicable rights.

5. Auditions and Previews

​

RMMAP may make excerpts, previews, or private full-length audition copies available to prospective licensees for evaluation.

Preview material is provided solely for the purpose of determining whether a work is appropriate for a proposed project.

Unless expressly authorized by RMMAP:

• previews may not be publicly distributed;

• previews may not be incorporated into a project;

• previews may not be commercially exploited;

• previews may not be uploaded to public platforms;

• previews may not be redistributed to third parties; and

• previews may not be used for model training, dataset development, or other machine-learning purposes.

RMMAP may provide private full-length auditions to qualified prospective licensees so that they can properly evaluate a work before licensing.

6. Scope of License

​

Every license is limited to the rights expressly granted in writing.

A license may specify, among other things:

• licensed work;

• composition and/or sound recording;

• project;

• type of media;

• permitted use;

• territory;

• duration;

• exclusivity or non-exclusivity;

• prominence or placement;

• editing rights;

• synchronization rights;

• distribution rights;

• performance rights;

• promotional use;

• sublicensing rights;

• transferability;

• credit requirements; and

• license fee.

No right is implied merely because it is technically possible to use the licensed material in another manner.

7. Synchronization and Audiovisual Use

​

Use of a musical composition in synchronization with visual material requires authorization for the applicable composition rights.

Use of a particular sound recording in audiovisual material may additionally require authorization for the applicable master recording rights.

Where RMMAP controls the applicable rights, the necessary permissions may be addressed in a single negotiated transaction. Where additional rights holders or rights are involved, the licensee is responsible for obtaining any permissions not expressly granted by RMMAP.

8. Territory

​

Licenses may be granted for a specified geographic territory, including but not limited to:

• local;

• regional;

• national;

• North American;

• international; or

• worldwide.

Worldwide rights are not automatically included in a standard license.

​

9. Term

​

Licenses may be granted for a defined period, project duration, release cycle, or other negotiated term.

A license expires at the end of the agreed term unless renewed or replaced by a subsequent written agreement.

Continued use after expiration requires a new or renewed license unless the original agreement expressly provides otherwise.

10. Exclusivity

​

Licenses are normally non-exclusive unless otherwise negotiated in writing.

Exclusive licenses must expressly identify:

• the exclusive rights granted;

• the applicable territory;

• the duration of exclusivity;

• the media or field of use covered by the exclusivity; and

• any other limitations or exceptions.

An exclusive license does not transfer ownership of the underlying copyright unless a separate written assignment expressly provides for such a transfer.

11. Editing and Modification

​

Unless expressly authorized in writing, a license does not automatically permit substantial alteration, transformation, remixing, re-recording, sampling, interpolation, or creation of derivative works from the licensed material.

Permitted technical edits may include trimming, fading, looping, or other modifications specifically authorized by the license.

Requests for substantial adaptation, remixing, re-editing, or other creative modification may require an additional fee and separate written authorization.

12. Stems and Production Materials

​

The standard license generally covers the authorized finished recording specified in the license.

Multitracks, stems, session files, alternate mixes, isolated instrumental parts, production files, and other underlying materials are not automatically included.

Where such materials are available, they may be licensed separately or supplied as part of a negotiated production or adaptation agreement.

Some archival recordings may exist only as completed mixes or mastered recordings. In such cases, the finished recording may be available for licensing even though multitracks, stems, or alternate production materials are no longer available.

13. Unreleased and Archival Works

​

The Licensing Library may contain works that have not previously been commercially released, as well as archival recordings from earlier periods of RMMAP's work.

Availability of an unreleased or archival work does not imply that it is unfinished or unsuitable for professional use.

Depending on the particular work, RMMAP may license an existing recording as-is, provide an available alternate version, or negotiate a custom adaptation, new recording, or related commissioned work.

14. Custom Composition and Adaptation

​

A prospective licensee may request:

• a custom composition;

• adaptation of an existing work;

• new instrumentation;

• a new recording;

• a remix or alternate version;

• additional performance or production;

• a bespoke improvisation;

• stems or production materials where available; or

• other specialized creative services.

Such work is subject to separate negotiation and may involve fees, production costs, credits, ownership arrangements, and other terms different from those applicable to an existing-library license.

15. AI, Machine Learning, Dataset, and Generative-System Restrictions

​

Unless expressly authorized through a separate written agreement, no work, recording, stem, preview, production file, lyric, composition, performance, or other material made available through the Licensing Library may be:

• used to train or fine-tune an artificial-intelligence or machine-learning model;

• incorporated into a training dataset;

• used to develop or evaluate a generative system;

• used to create an AI-generated imitation of RMMAP or an associated artist;

• used to clone, synthesize, or imitate a voice, instrumental performance, musical identity, or other distinctive artistic characteristic;

• subjected to automated extraction for dataset development; or

• sub-licensed or supplied to an AI or machine-learning service for any such purpose.

Any proposed AI, machine-learning, synthetic-media, model-training, or related use must be disclosed to RMMAP in advance and requires a separate written license.

Nothing in these Terms should be interpreted as granting permission for such uses merely because the material is accessible online or available for audition.

16. No Implied Endorsement

​

A license to use RMMAP music does not imply endorsement, sponsorship, affiliation, partnership, approval, or participation by RMMAP or its artists in the licensee's project.

Any use of RMMAP's name, likeness, biography, trademarks, logos, or other identifying material requires separate authorization unless expressly included in the license.

17. Credit

​

Where credit is required, the applicable license will specify the required credit language and placement.

Unless otherwise agreed, licensees are encouraged to provide appropriate credit identifying the musical work, artist, and/or RMMAP as applicable.

Failure to provide a contractually required credit may constitute a breach of the applicable license agreement.

18. Fees and Payment

​

Licensing fees are determined according to the nature and scope of the proposed use.

Factors may include:

• type of project;

• commercial or non-commercial status;

• size and budget of the production;

• media;

• territory;

• duration;

• audience and distribution;

• prominence of the music;

• exclusivity;

• editing or adaptation;

• promotional use;

• sublicensing;

• required production materials; and

• other circumstances affecting the value or scope of the license.

Indicative pricing may be provided as a starting point for discussion. Such pricing does not constitute a guaranteed or universal rate.

The final fee and payment schedule will be established in writing before rights are granted.

Unless otherwise agreed, no license becomes effective until the required payment or other agreed consideration has been received.

19. Taxes and Transaction Costs

​

The licensee is responsible for applicable taxes, payment-processing charges, wire-transfer fees, currency-conversion costs, and other transaction expenses associated with the license unless otherwise agreed in writing.

​

20. Previously Released Works

​

A work's previous commercial release does not prevent it from being licensed for a new use.

However, previous licenses, contractual obligations, distribution arrangements, or other restrictions may affect availability.

RMMAP will determine the rights and availability of a particular work before issuing a license.

​

21. Availability

​

Listing a work in the Licensing Library does not guarantee that the work will remain available.

RMMAP may withdraw, replace, archive, or restrict a work at any time before a license is issued.

Once a valid license has been granted, the rights and obligations established by that license will govern the licensed use.

​

22. No Transfer of Ownership

​

Unless a separate written assignment expressly states otherwise, payment of a licensing fee does not transfer ownership of:

• the musical composition;

• the sound recording;

• the copyright;

• master rights;

• publishing rights;

• performance rights;

• stems;

• multitracks;

• session files; or

• other intellectual property.

The licensee receives only the rights specifically identified in the applicable written license.

23. Sublicensing and Transfer

​

A license may not be assigned, transferred, sublicensed, resold, or otherwise granted to another party without prior written authorization from RMMAP unless the applicable license expressly permits such activity.

Use by contractors, distributors, broadcasters, platforms, exhibitors, or other third parties must remain within the scope of the rights granted.

24. Licensee Representations

​

By entering into a license, the licensee represents that:

1. the information supplied to RMMAP concerning the proposed use is accurate;

2. the licensed material will be used only within the authorized scope;

3. the licensee will not knowingly circumvent the limitations of the license;

4. the licensee will not represent RMMAP as endorsing the project without authorization; and

5. the licensee will comply with applicable law and the terms of the applicable license agreement.

 

25. Unauthorized Use

 

Any use outside the scope of an authorized license is prohibited.

Examples include, without limitation:

• using a preview as production audio;

• using a licensed recording in media not covered by the license;

• extending a license beyond its term;

• distributing a recording outside the licensed territory;

• using a work for a different project;

• creating unauthorized derivative works;

• distributing stems or production materials without authorization;

• sublicensing without authorization; or

• using the material for AI training or other prohibited purposes.

RMMAP reserves all rights and remedies available under applicable law in the event of unauthorized use.

26. Termination

​

A license may be terminated according to the terms of the applicable license agreement.

Unless otherwise specified, material breach of the license, including unauthorized use or nonpayment, may result in termination of the license and/or other remedies available under applicable law.

Upon termination or expiration, the licensee must cease uses that are no longer authorized, subject to any expressly stated wind-down or archival provisions in the applicable agreement.

27. Reservation of Rights

​

RMMAP expressly reserves all rights not granted through a written license.

Nothing in these Terms, the Licensing Library, an audition, preview, inquiry, quotation, or negotiation shall be interpreted as a waiver, transfer, assignment, or grant of any right not expressly stated.

​

28. Changes to the Licensing Library and These Terms

​

RMMAP may modify the Licensing Library and these Terms from time to time.

Changes will generally apply prospectively to new licensing transactions. Existing licenses remain governed by the terms of their respective written agreements unless otherwise provided by those agreements.

29. Governing Law

​

Unless otherwise agreed in writing, these Terms and transactions conducted through the Licensing Library shall be governed by the laws of the State of New York, without regard to conflict-of-law principles.

​

30. Individual License Agreement Controls

​

These Licensing Terms establish the general framework for the Licensing Library.

Each approved licensing transaction should be documented through a separate written license agreement, license confirmation, or comparable written instrument identifying the specific rights granted.

That document should ordinarily identify:

• Licensed Work;

• Musical Composition;

• Sound Recording/Master;

• Licensee;

• Project;

• Permitted Media;

• Territory;

• Term;

• Exclusivity;

• Permitted Use;

• Editing/Modification Rights;

• Stems or Production Materials;

• License Fee;

• Payment Terms;

• Required Credit;

• Effective Date;

• Expiration Date; and

• any additional negotiated conditions.

In the event of a conflict between these general Terms and an executed individual license agreement, the executed individual license agreement controls with respect to that particular transaction.

31. Contact and Licensing Inquiries

​

Prospective licensees should contact RMMAP with:

• the title of the work being considered;

• a description of the proposed project;

• the intended use of the music;

• media and distribution;

• territory;

• anticipated term;

• whether exclusivity is requested;

• whether editing, adaptation, or stems are required;

• project budget where relevant; and

• anticipated production or release date.

RMMAP will review the request and determine availability, applicable rights, and licensing terms.
